Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the websites, applications, research tools, portfolio features, content, and related services provided by POP142 Intel LLC (“POP142 Intel,” “we,” “us,” or “our”), including app.pop142.com (collectively, the “Service”).

By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not access or use the Service.

1. Eligibility

You must be at least 18 years old, or the age of legal majority where you live, to create an account or purchase a paid service. If you use the Service on behalf of a company or another organization, you represent that you have authority to bind that organization to these Terms.

2. The POP142 Intel Service

POP142 Intel provides research, organizational tools, market observations, inventory and collection-management features, and other information relating to trading cards and collectibles.

The Service may include:

• Historical and current marketplace information;
• Estimated market values and pricing ranges;
• Comparisons between listings, sales, products, or marketplaces;
• Card, player, set, category, and market research;
• Editorial observations and recommendations;
• Collection and inventory records;
• Saved searches, alerts, and portfolio tools; and
• Links to third-party websites and marketplaces.

Features may be added, changed, suspended, or discontinued at any time.

3. Research and Data Limitations

POP142 Intel attempts to provide useful research based on the data reasonably available from major marketplaces, public sources, data providers, and other sources at the time of analysis.

Marketplace information is inherently incomplete and subject to rapid change. Data may be delayed, unavailable, duplicated, incorrectly categorized, affected by canceled or fraudulent transactions, or otherwise inaccurate. Third-party platforms may change their listings, prices, availability, interfaces, methodologies, or access policies without notice.

POP142 Intel does not represent or warrant that any data, estimate, comparison, report, calculation, listing, image, description, population figure, sales history, market indicator, or other information is accurate, complete, current, unique, authentic, or suitable for any particular purpose.

Displayed prices may not reflect:

• Accepted best offers;
• Canceled, returned, fraudulent, or unpaid transactions;
• Shipping, taxes, commissions, grading fees, or other costs;
• Differences in card condition, grade, authenticity, provenance, variation, scarcity, or eye appeal;
• Private transactions;
• Market manipulation or unusual sales;
• Currency conversion;
• Delays or errors in third-party data; or
• Subsequent changes in market conditions.

You are responsible for independently checking relevant information before making a decision or taking action.

4. Estimates, Opinions, and Recommendations

All valuations, projections, market scores, rankings, observations, and recommendations provided through the Service are informational and research-based opinions only.

Any recommendation reflects POP142 Intel's editorial appreciation of a particular card or collectible and its assessment of market forces at the time the recommendation is created. Recommendations are subjective, may change without notice, and do not guarantee that another person or marketplace will assign the same value to an item.

Past sales, historical trends, popularity, scarcity, or previous performance do not guarantee future demand, liquidity, price, or value.

POP142 Intel does not guarantee that a card or collectible will increase or retain its value, that it can be sold at a displayed price, or that a willing buyer or seller exists.

5. No Financial, Investment, Tax, Legal, Authentication, or Appraisal Advice

POP142 Intel is not a financial adviser, investment adviser, broker, dealer, auctioneer, grading company, authenticator, fiduciary, attorney, accountant, or certified appraiser.

Nothing provided through the Service constitutes:

• Financial or investment advice;
• A solicitation or recommendation to buy, sell, hold, trade, or finance an asset;
• Tax, accounting, or legal advice;
• A professional appraisal;
• A guarantee of authenticity, condition, grade, provenance, ownership, or title; or
• A representation that any collectible is an investment or security.

Collectibles are speculative, illiquid, and subject to substantial risk of loss. You should conduct your own research and consult qualified professionals when appropriate.

6. Your Decisions and Actions

You retain sole responsibility for every decision and action you take based on information obtained through the Service.

To the fullest extent permitted by applicable law, POP142 Intel is not responsible or liable for purchases, sales, trades, bids, offers, listings, grading submissions, storage decisions, insurance decisions, tax decisions, investment decisions, or any other action or inaction taken in reliance on the Service.

You agree not to treat POP142 Intel data, estimates, opinions, or recommendations as the sole basis for any transaction or material decision. Before completing a transaction, you should independently inspect the item, verify its condition and authenticity, review the complete marketplace listing, investigate the counterparty, and consider all associated costs and risks.

7. Collection and Inventory Records

The Service may allow you to record and manage collections, inventories, acquisition costs, estimated values, notes, images, and other portfolio information.

POP142 Intel maintains backups as an operational safeguard. However, backups do not constitute a storage, archival, custody, escrow, or data-preservation service, and we do not guarantee that any record or backup can be recovered.

Information may be lost, corrupted, overwritten, delayed, rendered inaccessible, or deleted because of software defects, hardware failures, account actions, user error, third-party failures, security incidents, maintenance, changes to the Service, or events outside our reasonable control.

You are solely responsible for maintaining independent and current copies of important collection and inventory records. We strongly recommend that you export your portfolio regularly and retain copies in a secure location that is not controlled by POP142 Intel.

To the fullest extent permitted by applicable law, POP142 Intel will not be liable for the loss, corruption, alteration, disclosure, or inability to restore collection, inventory, portfolio, image, note, valuation, or other user data.

8. Third-Party Platforms and Transactions

The Service may contain information obtained from, or links directing you to, eBay and other third-party marketplaces, grading services, data providers, websites, or services.

POP142 Intel is independent from these third parties unless expressly stated otherwise. A link, reference, or integration does not mean that a third party sponsors, endorses, controls, or guarantees POP142 Intel.

POP142 Intel is not a buyer, seller, broker, agent, custodian, payment processor, shipping provider, insurer, authenticator, or party to transactions conducted through third-party services.

Third parties control their own:

• Listings and product descriptions;
• Prices and accepted offers;
• Availability;
• Buyer and seller eligibility;
• Payments, taxes, and fees;
• Shipping and delivery;
• Returns and refunds;
• Authentication and grading;
• Marketplace rules; and
• Privacy and data practices.

Your use of a third-party service is governed by that third party's terms and policies. Any dispute concerning a third-party listing or transaction is between you and the applicable third party.

9. Affiliate Relationships

Some links displayed through the Service may be affiliate links. POP142 Intel may receive compensation if you click an affiliate link and complete a qualifying transaction.

Affiliate compensation does not increase the price charged to you unless expressly disclosed. Compensation may influence which marketplaces or links are available, but it does not guarantee or endorse the authenticity, condition, quality, value, safety, legality, or availability of any item.

10. Accounts and Account Security

If account functionality is offered, you agree to provide accurate information and maintain the confidentiality of your login credentials. You are responsible for activity conducted through your account unless prohibited by applicable law.

Notify us promptly at support@pop142.com if you believe your account has been accessed without authorization.

We may limit, suspend, or terminate an account if we reasonably believe it is being used fraudulently, unlawfully, abusively, or in violation of these Terms.

11. Acceptable Use

You may not:

• Use the Service for unlawful, fraudulent, deceptive, or abusive purposes;
• Misrepresent POP142 Intel data as a guaranteed price, certified appraisal, or professional investment recommendation;
• Use automated means to scrape, harvest, copy, or extract the Service except with our written permission;
• Circumvent rate limits, access controls, authentication, or security measures;
• Reverse engineer or attempt to derive the source code of the Service except where applicable law expressly permits it;
• Introduce malware, malicious code, or harmful content;
• Interfere with the operation or security of the Service;
• Access another person's account or portfolio without authorization;
• Upload content you do not have the right to use;
• Infringe intellectual-property, privacy, publicity, or other rights;
• Use the Service to manipulate collectible prices or marketplace activity;
• Resell, sublicense, reproduce, or commercially exploit POP142 Intel data or reports without written permission; or
• Use the Service to build or train a competing product, dataset, or model without our written permission.

12. User Content

You retain ownership of information, images, notes, and other content you submit to the Service (“User Content”).

You grant POP142 Intel a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, and display User Content solely as reasonably necessary to operate, secure, support, and improve the Service.

You represent that you have the necessary rights to submit User Content and that it does not violate law or third-party rights.

We may remove User Content that violates these Terms or creates legal, technical, or security risk.

13. POP142 Intel Intellectual Property

The Service—including its software, design, branding, research presentation, original content, databases, scoring systems, organization, and user interface—is owned by or licensed to POP142 Intel and is protected by applicable intellectual-property laws.

Except for the limited right to use the Service under these Terms, no right or license is granted to you.

Third-party names, trademarks, marketplace content, card images, and other materials remain the property of their respective owners. References to third parties are for identification and informational purposes and do not imply endorsement.

14. Beta and Experimental Features

Some or all of the Service may be identified as beta, preview, experimental, or early access.

Beta features may be incomplete, inaccurate, interrupted, changed substantially, or discontinued without notice. They may contain defects and should not be relied upon for preserving data or making material decisions.

Your use of beta features is at your own risk.

15. Service Availability and Changes

We do not guarantee that the Service will always be available, secure, uninterrupted, error-free, or compatible with every device or browser.

We may perform maintenance, impose usage limits, modify features, correct information, or suspend access when reasonably necessary. We are not obligated to preserve a particular feature, data source, methodology, recommendation, or historical result.

16. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Service is provided “as is” and “as available.”

POP142 Intel and its owners, affiliates, officers, employees, contractors, licensors, and service providers disclaim all express, implied, and statutory warranties, including warranties of accuracy, completeness, timeliness, reliability, availability, merchantability, fitness for a particular purpose, title, non-infringement, security, and quiet enjoyment.

We do not warrant that the Service will meet your requirements, that results will be accurate or profitable, that data will be preserved or recoverable, or that defects will be corrected.

Some jurisdictions do not permit the exclusion of certain warranties, so portions of this section may not apply to you.

17. Limitation of Liability

To the fullest extent permitted by applicable law, POP142 Intel and its owners, affiliates, officers, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, or for any loss of profits, revenue, opportunity, goodwill, reputation, data, collection records, inventory records, market value, or business interruption.

This exclusion applies to damages arising from or relating to:

• Your use of or inability to use the Service;
• Any action or inaction based on POP142 Intel information;
• Any purchase, sale, trade, bid, offer, grading submission, or other transaction;
• Errors, omissions, delays, or inaccuracies in data;
• Changes in market price, demand, or liquidity;
• Loss or corruption of user data;
• Third-party content, services, marketplaces, users, or transactions;
• Unauthorized account access; or
• Interruption, modification, or termination of the Service.

To the fullest extent permitted by law, POP142 Intel's total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of:

• The amount you paid directly to POP142 Intel for the Service during the 12 months before the event giving rise to the claim; or
• US $100.

These limitations apply regardless of the legal theory asserted and even if POP142 Intel was advised that damages were possible.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, willful misconduct, or other liability that applicable law makes non-waivable.

18. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless POP142 Intel and its owners, affiliates, officers, employees, contractors, licensors, and service providers from third-party claims, damages, liabilities, judgments, losses, and reasonable legal expenses arising from:

• Your unlawful or unauthorized use of the Service;
• Your breach of these Terms;
• Your User Content;
• Your infringement of another person's rights; or
• Fraudulent, deceptive, abusive, or manipulative conduct performed through or in connection with the Service.

POP142 Intel may control the defense of an indemnified matter, and you agree to provide reasonable cooperation. This section does not require a consumer to indemnify POP142 Intel where such an obligation is prohibited by applicable law.

19. Suspension and Termination

You may stop using the Service at any time.

We may suspend or terminate access when reasonably necessary to protect the Service, enforce these Terms, comply with law, respond to security or legal risk, or address misuse.

Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination—including intellectual-property provisions, disclaimers, liability limitations, indemnification, and dispute provisions—will survive.

Before closing an account, you should export any collection or inventory information you wish to retain.

20. Changes to These Terms

We may update these Terms periodically. Updated Terms will be posted with a revised effective date.

If changes are material, we may provide additional notice as required by law. Your continued use of the Service after updated Terms become effective constitutes acceptance where permitted by law.

21. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Subject to any rights that cannot lawfully be waived, legal proceedings arising from these Terms or the Service must be brought in the state or federal courts located in Broward County, Florida, and you and POP142 Intel consent to their jurisdiction.

Nothing in this section prevents either party from bringing an eligible matter in small-claims court or exercising non-waivable consumer rights.

22. General Terms

These Terms and the Privacy Policy constitute the entire agreement between you and POP142 Intel concerning the Service unless separate written terms apply.

If a provision is held unenforceable, it will be modified only to the minimum extent necessary, and the remaining provisions will continue in effect.

Our failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our written consent. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.

Headings are for convenience and do not affect interpretation.
